Terms & Conditions

1. Introduction

Welcome to the Malgopay Channel Partner Program. These Terms & Conditions govern the relationship between Malgotech Solutions Private Limited ("Company", "Malgopay", "We", "Us") and the individual or entity enrolled as a Channel Partner ("Channel Partner", "Partner", "You"). By paying the onboarding fee, accepting activation, accessing the Channel Partner Dashboard, or participating in the program, you agree to be legally bound by these Terms & Conditions.

2. Nature of the Program

The Malgopay Channel Partner Program is a business development and marketing partnership initiative designed to help Channel Partners promote Malgopay products and services within their assigned territories or target markets.

The Channel Partner Program

  • Is a business opportunity program.
  • Is not an investment scheme.
  • Is not a deposit scheme.
  • Does not guarantee profits or income.
  • Does not promise fixed returns or assured earnings.
  • Requires active effort and business development activities by the Channel Partner.

Success within the program depends upon individual performance, market conditions, sales efforts, and other business factors.

3. Eligibility

To become a Channel Partner, an applicant must:

  • Be at least 18 years of age.
  • Possess valid identity and contact information.
  • Complete all required registration procedures.
  • Pay the applicable onboarding fee.
  • Agree to comply with company policies and guidelines.

The Company reserves the right to approve or reject any application without assigning a reason.

4. Channel Partner Onboarding Fee

A one-time onboarding fee is payable to activate Channel Partner privileges.

The onboarding fee covers:

  • Dashboard access.
  • Partner onboarding.
  • Administrative processing.
  • Training resources.
  • Business support infrastructure.
  • Operational setup.

Important:

  • The onboarding fee is strictly non-refundable.
  • The onboarding fee is non-transferable.
  • The onboarding fee does not constitute an investment.
  • The onboarding fee does not create ownership rights in the Company.

5. Dashboard Access

Upon successful activation, the Channel Partner may receive access to the Company's partner dashboard.

The dashboard may include:

  • Lead management tools.
  • Performance reports.
  • Business tracking features.
  • Marketing resources.
  • Training materials.
  • Other tools as determined by the Company.

The Company reserves the right to modify, upgrade, restrict, suspend, or discontinue any dashboard feature at its sole discretion.

6. Partner Responsibilities

Channel Partners are expected to:

  • Represent the Company professionally.
  • Maintain ethical business practices.
  • Provide accurate information to prospects.
  • Follow all Company policies.
  • Comply with applicable laws and regulations.
  • Protect confidential business information..

The dashboard may include

  • Misrepresent the Company.
  • Make false promises.
  • Offer unauthorized discounts.
  • Alter official marketing materials..
  • Create misleading advertisements.
  • Engage in deceptive sales practices..

7. No Guaranteed Income

The Company does not guarantee:

  • Revenue..
  • Profit.
  • Business volume.
  • Sales targets.
  • Lead conversion.
  • Return on effort.

Any income examples, projections, illustrations, or estimates shared by the Company are for informational purposes only and should not be considered guaranteed results.

8. Marketing and Promotion

Channel Partners may promote the Company's services using approved methods and materials.

Partners must not:

  • Publish misleading claims.
  • Promise guaranteed income.
  • Use unauthorized logos or branding.
  • Create advertisements that violate laws or platform policies..
  • Misrepresent the Company's products or opportunities.

The Company may require removal of any promotional content deemed inappropriate.

9. Compliance and Ethical Conduct

All Channel Partners must conduct business with integrity and professionalism.

Any involvement in:

  • Fraudulent activities.
  • Misrepresentation.
  • Misuse of company resources..
  • Harassment.
  • Illegal activities.
  • Reputation-damaging conduct

may result in immediate suspension or termination.

10. Confidentiality

Channel Partners may receive confidential information including:

  • Business strategies.
  • Customer information.
  • Marketing plans.
  • Pricing structures.
  • Internal documents.
  • Operational procedures.

Such information shall remain confidential and may not be disclosed to any third party without written permission from the Company. This obligation continues even after termination of the partnership.

11. Intellectual Property

All trademarks, logos, brand names, software, websites, content, documents, training materials, and intellectual property remain the exclusive property of Malgotech Solutions Private Limited.

No ownership rights are transferred to Channel Partners. Unauthorized reproduction, distribution, or commercial use is prohibited.

12. Suspension & Termination

The Company reserves the right to suspend or terminate a Channel Partner account at any time if:

  • False information is provided.
  • Policies are violated.
  • Illegal activities are detected.
  • Fraudulent conduct is suspected.
  • Brand reputation is harmed.
  • Company interests are adversely affected.

Termination may occur without prior notice in serious cases.

13. Modification of Program

The Company reserves the right to:

  • Modify the Channel Partner Program.
  • Update policies.
  • Revise benefits.
  • Change operational procedures.
  • Introduce new features.
  • Discontinue existing features.

Such changes become effective upon publication on official communication channels.

14. Limitation of Liability

The Company shall not be liable for:

  • Loss of profits.
  • Business interruptions.
  • Indirect damages.
  • Consequential losses.
  • Third-party claims.

Technical failures beyond reasonable control.

Participation in the program is entirely voluntary and at the Partner's own business discretion.

15. Independent Relationship

A Channel Partner is an independent business participant and not:

  • An employee.
  • An agent.
  • A franchise owner.
  • A legal representative.
  • A shareholder by virtue of participation.

Nothing contained in this program creates an employer-employee relationship.

16. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of India.

Any disputes arising from participation in the Channel Partner Program shall be subject exclusively to the jurisdiction of the courts of Bengaluru, Karnataka.

17. Acceptance

By completing registration, making payment, accessing the dashboard, or participating in the Channel Partner Program, you acknowledge that you have read, understood, and agreed to these Terms & Conditions in full.
