Terms & Conditions

These Terms & Conditions govern participation in the Malgopay State Operations Partner Program operated by Malgotech Solutions Private Limited ("Company", "Malgopay", "We", "Us").

By making payment, signing the agreement, accessing the SOP dashboard, or participating in the program, the State Operations Partner ("Partner", "SOP", "You") agrees to be bound by these Terms & Conditions.

1. About the State Operations Partner Program

The State Operations Partner (SOP) Program is a strategic business partnership initiative designed to support the expansion, promotion, and development of Malgopay products and services across India.

The program provides qualified individuals and organizations an opportunity to participate in the growth of the Malgopay ecosystem through approved business development activities.

The SOP Program is a business collaboration model and shall not be interpreted as:

The Channel Partner Program:

  • A public investment scheme.
  • A collective investment plan.
  • A deposit acceptance scheme.
  • A securities offering.
  • A money circulation scheme.
  • A guaranteed return program.

Participation in the program requires active involvement and business development efforts from the Partner.

2. Eligibility

To become a State Operations Partner, the applicant must:

  • Be at least 18 years of age.
  • Possess valid identity documents.
  • Provide accurate contact information.
  • Successfully complete onboarding formalities.
  • Pay the applicable program fee.
  • Agree to all company policies and procedures.

The Company reserves the right to approve, reject, suspend, or terminate any application at its sole discretion.

3. Nature of the Relationship

Nothing contained in this program shall create:

  • Employment.
  • Agency
  • Franchise ownership.
  • Joint venture.
  • Partnership under applicable law.
  • Shareholding rights.
  • Ownership rights in the Company.

The Partner is solely responsible for managing their own activities, expenses, resources, staffing, and business operations.

4. Program Fee

Participation in the State Operations Partner Program requires payment of the prescribed onboarding or partnership fee.

The fee covers:

  • Business onboarding.
  • Administrative processing.
  • Partner activation.
  • Dashboard access.
  • Training support.
  • Business development resources.
  • Operational assistance.

Important Notice

  • The program fee is non-refundable.
  • The program fee is non-transferable.
  • The fee does not constitute an investment.
  • The fee does not represent a security deposit.
  • The fee does not create ownership rights.
  • The fee does not guarantee profits or income.

5. Dashboard Access

Upon activation, the Partner may receive access to the SOP Dashboard.

Dashboard features may include:

  • Team management.
  • Lead tracking.
  • Reporting tools.
  • Business analytics.
  • Performance monitoring.

The Company may update, modify, enhance, suspend, or discontinue dashboard features at any time without prior notice.

6. Business Development Responsibilities

The State Operations Partner is expected to:

Promote Malgopay products and services.

  • Build business networks.
  • Support Channel Partners and users.
  • Participate in training programs.
  • Maintain professional conduct.
  • Represent the Company ethically.

The Partner agrees to use best efforts to expand awareness and adoption of Malgopay services.

7. No Guaranteed Revenue or Earnings

The Company makes no representation regarding:

  • Revenue.
  • Income.
  • Profitability.
  • Business volume.
  • Partner rewards.
  • Business success.

Any examples, illustrations, projections, estimates, presentations, or discussions regarding potential earnings are for informational purposes only and do not constitute guarantees.

Actual results vary based on:

  • Individual effort.
  • Market conditions.
  • Business strategy.
  • Team performance.
  • External factors.

8. Prohibited Activities

The Partner shall not:

  • Make false claims about Malgopay.
  • Promise guaranteed returns.
  • Promise fixed income.
  • Collect money on behalf of the Company without authorization.
  • Misrepresent company products.
  • Conduct fraudulent activities.
  • Engage in unethical marketing.
  • Use misleading advertisements.
  • Damage the Company's reputation.

Violation of these provisions may result in immediate termination.

9. Marketing and Promotional Activities

All Channel Partners must conduct business with integrity and professionalism.

The Company may provide:

  • Marketing materials.
  • Branding resources.
  • Promotional content.
  • Training documents.

The Partner may use only officially approved materials.

The Partner shall not:

  • Modify company logos without permission.
  • Create misleading advertisements.
  • Publish false information.
  • Use the Company's intellectual property beyond approved purposes.

10. Compliance with Laws

The Partner agrees to comply with:

  • Indian laws and regulations.
  • Consumer protection laws.
  • Information technology laws.
  • Tax regulations.
  • Advertising standards.
  • Data protection requirements.

Any violation shall be the sole responsibility of the Partner.

11. Confidentiality

  • Business plans.
  • Revenue models.
  • Operational procedures.
  • Marketing strategies.
  • Training materials.
  • Customer information.
  • Internal communications.

The Partner agrees not to disclose such information to any third party without written authorization.

Confidentiality obligations shall continue even after termination of participation.

12. Intellectual Property Rights

  • Malgopay brand.
  • Logos.
  • Trademarks.
  • Software.
  • Dashboards.
  • Documents.
  • Training content.
  • Marketing materials.

remain the exclusive property of Malgotech Solutions Private Limited.

No intellectual property rights are transferred to the Partner.

13. Partner Conduct

State Operations Partners are expected to maintain:

  • Professional behaviour.
  • Ethical standards.
  • Respectful communication.
  • Compliance with company policies.

The Company may take disciplinary action if any conduct adversely affects the Company, its customers, users, employees, partners, or reputation.

14. Suspension and Termination

The Company reserves the right to suspend or terminate participation if:

  • Policies are violated.
  • Business interruptions.
  • False information is submitted.
  • Brand misuse occurs.
  • Legal violations are detected.
  • Business interests of the Company are harmed.

Termination may occur immediately in serious cases.

No refund shall be payable upon suspension or termination.

15. Program Changes

The Company reserves the right to:

  • Amend these Terms & Conditions.
  • Modify the business model.
  • Change benefits and incentives.
  • Revise operational procedures.
  • Update policies.

Nothing contained in this program creates an employer-employee relationship.

16. Limitation of Liability

The Company shall not be liable for:

  • Loss of business.
  • Loss of profits.
  • Loss of opportunities.
  • Indirect damages.
  • Consequential damages.
  • Technical disruptions.
  • Market-related losses.

Participation in the program is voluntary and undertaken at the Partner's own business discretion.

17. Force Majeure

The Company shall not be responsible for delays or failures caused by circumstances beyond reasonable control, including:

  • Natural disasters.
  • Government actions.
  • Regulatory restrictions.
  • Internet outages.
  • Technical failures.
  • Civil disturbances.
  • Public emergencies.

18. Governing Law and Jurisdiction

These Terms & Conditions shall be governed by the laws of India.

All disputes, claims, or legal proceedings shall be subject exclusively to the jurisdiction of the competent courts in Bengaluru, Karnataka.

19. Acceptance

These Terms & Conditions shall be governed by the laws of India.

By making payment, signing the agreement, accessing the dashboard, participating in training, or engaging in any activity under the State Operations Partner Program, the Partner acknowledges that they have read, understood, and accepted these Terms & Conditions in full.
